Terms of Service

These Terms of Service ("Terms") govern your use of the codeon.cloud website and any software engineering services provided by Codeon d.o.o. ("we", "us", "our"), a limited liability company registered in Belgrade, Serbia. By using our website or engaging our services, you agree to be bound by these Terms.

Codeon d.o.o. provides software engineering and development services including, but not limited to, full-stack application development, API and backend services, cloud infrastructure, DevOps pipelines, AI solution integration, and technical consulting. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or statement of work agreed upon by both parties before work begins.

Submitting an inquiry through our contact form or via email does not constitute a contractual obligation on either party. A binding agreement is established only when both parties sign a project agreement or statement of work that outlines the scope, deliverables, payment terms, and timeline.

Payment terms, including amounts, milestones, and due dates, are defined in the project agreement for each engagement. Unless otherwise specified, invoices are due within 14 days of issuance. We reserve the right to suspend work on any project with overdue payments until the balance is resolved.

Upon full payment of all agreed fees, all intellectual property rights in the custom deliverables created for your project are transferred to you. We retain the right to use general knowledge, techniques, and non-proprietary components developed during the engagement for other projects. Pre-existing intellectual property, third-party libraries, and open-source components remain subject to their respective licenses.

We treat all project-related information shared by clients as confidential. We will not disclose your proprietary information to third parties without your written consent, except as required by law. A separate Non-Disclosure Agreement (NDA) is available upon request prior to sharing sensitive project details.

Clients are responsible for providing timely feedback, access to required systems and resources, and any content or materials specified in the project agreement. Delays caused by late client inputs may result in adjusted timelines and, where applicable, additional costs as outlined in the project agreement.

We deliver all work with reasonable skill and care consistent with industry standards. Deliverables include a warranty period as defined in the project agreement, during which we will address defects in the delivered work at no additional cost. To the maximum extent permitted by law, our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific engagement. We are not liable for indirect, incidental, or consequential damages.

Either party may terminate an engagement in accordance with the terms specified in the project agreement. In the event of termination, the client is responsible for payment of all work completed up to the termination date. We will deliver all completed work and materials upon receipt of outstanding payment.

You may use our website for informational purposes and to submit inquiries. You agree not to misuse the website, including but not limited to submitting fraudulent inquiries, attempting to disrupt website functionality, or scraping content without permission.

These Terms are governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes arising from or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Belgrade, Serbia, unless an alternative jurisdiction is agreed upon in the project agreement.

We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
